• The service may expose BanglaShield, its personnel, the public, or third parties to unreasonable danger or liability

• The requested service violates applicable law, licensing requirements, or BanglaShieldpolicy

5. Service Agreements

Specific services will be governed by a separate written proposal, quotation, statement of work, service agreement, deployment order, or contract. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control for that specific engagement.

6. No Guarantee of Complete Security

BanglaShield uses professional personnel, procedures, vehicles, technology, and monitoring systems designed to reduce security risk. However, no security provider can guarantee complete protection, prevention of all incidents, uninterrupted monitoring, perfect threat detection, or absolute safety.

Security risks may arise from criminal acts, terrorism, civil unrest, insider threats, system failures, natural disasters, traffic conditions, communication failures, client non-cooperation, inaccurate information, third-party conduct, or events beyond our control.

You acknowledge that BanglaShield provides risk mitigation and response services, not absolute guarantees.

7. Armed Protection and Use of Force

Any armed protection, armed escort, or related security service is subject to applicable law, licensing requirements, internal protocols, rules of engagement, client agreement, and lawful authority.

BanglaShield personnel are not authorized to act outside the law. Clients may not instruct BanglaShield personnel to intimidate, threaten, assault, unlawfully detain, forcibly collect debts, interfere with legal process, perform political coercion, conduct unlawful surveillance, or engage in any illegal activity.

8. AI Surveillance, CCTV, Facial Recognition, and Monitoring Services

Where BanglaShield provides AI surveillance, CCTV, facial recognition, license-plate recognition, biometric access, smart locks, intrusion analytics, or command-center monitoring, such services are provided according to the agreed scope, technology configuration, site conditions, and applicable law.

The client is responsible for:

• Having lawful authority over the premises or assets being monitored

• Obtaining required consents, notices, signage, staff acknowledgments, visitor notices, or regulatory approvals

• Ensuring that monitoring is not used for unlawful discrimination, harassment, stalking, political intimidation, illegal surveillance, or privacy violations

• Providing accurate lists of authorized users, staff, visitors, vehicles, and access permissions

• Maintaining required power, internet, physical access, and infrastructure unless otherwise agreed

BanglaShield is not responsible for failures caused by client infrastructure, power outages, internet outages, tampering, obstruction, false information, unauthorized changes, or third-party system failures unless specifically agreed in writing.

9. Cash-in-Transit and Secure Transport

Cash-in-transit, valuables transport, armored vehicle, and secure logistics services are subject to specific written instructions and chain-of-custody protocols.

The client is responsible for accurately declaring the nature, value, packaging, ownership, legality, and handling requirements of transported items. BanglaShield may refuse to transport any item that appears unlawful, undeclared, unsafe, improperly documented, or outside the agreed scope.

10. Client Responsibilities

Clients must:

• Provide accurate, complete, and timely information

• Cooperate with BanglaShield security assessments and operational instructions

• Identify authorized decision-makers and emergency contacts

• Disclose known threats, disputes, risks, weapons, hazardous materials, site conditions, or relevant legal issues

• Pay all agreed fees, deposits, reimbursable expenses, taxes, and charges on time

• Avoid interfering with security personnel, routes, systems, or procedures

• Use BanglaShield services only for lawful and authorized purposes

Failure to meet these responsibilities may affect service quality, increase risk, or result in suspension or termination.

11. Fees and Payment

Fees, deposits, retainers, emergency charges, overtime, equipment costs, vehicle charges, travel expenses, monitoring fees, and other costs will be set out in the applicable proposal or service agreement.

Unless otherwise agreed in writing, payments are due according to the invoice or contract terms. Late payment may result in suspension of services, late fees, collection costs, or termination.

12. Cancellations, Suspension, and Termination

BanglaShield may suspend or terminate services if:

• Payment is overdue

• The client breaches these Terms or a service agreement

• The client provides false or incomplete information

• Conditions become unsafe or unlawful

• Required licenses, permissions, access, or cooperation are unavailable

• Continuing service would create unacceptable legal, safety, operational, or reputational risk

Client cancellation rights, refund terms, and notice periods will be governed by the applicable written agreement.

13. Confidentiality

BanglaShield treats client security plans, risk assessments, deployment details, principal identities, operational procedures, and related information as confidential.

Clients must also keep BanglaShield’s security methods, routes, personnel details, tactical procedures, technology configurations, reports, pricing, and confidential communications private unless disclosure is required by law or authorized in writing.

14. Intellectual Property

All website content, branding, logos, text, graphics, service descriptions, reports, methodologies, templates, procedures, technology documentation, and related materials are owned by or licensed to BanglaShield unless otherwise stated.

You may not copy, reproduce, distribute, modify, publish, or commercially exploit BanglaShieldmaterials without our prior written consent.

15. Privacy

BanglaShield’s total liability for any claim arising from the website or services will be limited to the amount paid by the client for the specific service giving rise to the claim during the period stated in the applicable service agreement, unless applicable law requires otherwise.

Nothing in these Terms limits liability where such limitation is prohibited by law.

18. Indemnification

You agree to indemnify and hold harmless BanglaShield, its directors, officers, employees, contractors, agents, and affiliates from claims, losses, damages, liabilities, penalties, costs, and expenses arising from:
